Terms of Service

1. Acceptance of Terms
By accessing or using ComplySherpa (“the Service”), you agree to these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.
2. The Service
ComplySherpa provides cloud-based software for automating and managing compliance frameworks (such as SOC 2, ISO 27001 and PIPEDA). We may update or modify features from time to time to improve performance, security, or usability.
3. Accounts and Access
You must provide accurate information and keep credentials confidential. You are responsible for all activity that occurs under your account.
4. Subscriptions and Payment
Subscription fees are billed in advance on a recurring basis according to the plan selected. Unless otherwise stated in an order form, subscriptions automatically renew at the then-current rate.
5. Acceptable Use
You may not use the Service to store or transmit unlawful content, interfere with system integrity, or reverse engineer the platform. We may suspend access for violations of these Terms.
6. Intellectual Property
ComplySherpa and its licensors retain all rights, title, and interest in and to the Service, including all software, documentation, and trademarks. You retain ownership of your own data and uploaded content.
7. Confidentiality & Data
Both parties agree to protect each other’s Confidential Information. ComplySherpa processes customer data only as described in our Data Processing Addendum.
8. Disclaimers
The Service is provided “as is.” We make no warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
9. Limitation of Liability
To the maximum extent permitted by law, ComplySherpa’s total liability arising from or related to the Service shall not exceed the fees paid by you for the 12 months preceding the event giving rise to the claim.
10. Governing Law
These Terms are governed by the laws of Alberta, Canada, excluding conflicts-of-law principles. Any disputes will be resolved in the courts of Calgary, Alberta.
